New Subsidies Rules - Pre-financing from 2026-01-05<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2f2ee88 elementor-widget elementor-widget-text-editor\" data-id=\"2f2ee88\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p><strong>General Terms and Conditions<\/strong><\/p>\n<p>Address:&nbsp;7 Pl. de l\u2019Ind\u00e9pendance,&nbsp;<span style=\"letter-spacing: 0px;\">4418 Soleuvre, Luxembourg<\/span><\/p><p>Managing Director: Micha\u0142 Purc<br>Business Register Number: B270450<br>Identification Number: 2022 24 59185<br>Business Licence Number: 10153228\/2<br>Business Licence Number: 10153228\/3<br>EU VAT Number: LU34874947<\/p>\n<p style=\"text-align: center;\"><strong> \u00a7 1<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Scope and Validity<\/strong><\/p>\n<p><strong>&nbsp;<\/strong><\/p>\n<ol>\n<li>The contractual partner is VOLTMAX Sarl (hereinafter: \u201cVOLTMAX\u201d).<\/li>\n<li>These General Terms and Conditions (hereinafter: \u201cGTC\u201d) apply to the planning, sale, supply and installation of photovoltaic systems (hereinafter: \u201cPV\u201d) by VOLTMAX in favour of:<\/li>\n<\/ol>\n<p style=\"padding-left: 40px;\">a. consumer within the meaning of Article L 010-1 of the Luxembourg Consumer Code of 22 December 2022 in the version applicable at the time of conclusion of the agreement (hereinafter: \u201cLU-CC\u201d), or<\/p>\n<p style=\"padding-left: 40px;\">b. a entrepreneur within the meaning of Article L 010-2 LU-CC of the Consumer Code.<\/p>\n<ol start=\"3\">\n<li>A consumer within the meaning of Article L 010-1 LU-CC is any natural person who acts for purposes which are not attributable to his or her trade, business, craft or profession (hereinafter: the \u201cConsumer\u201d or \u201cClient\u201d).<\/li>\n<li>A entrepreneur within the meaning of Article L 010-2 LU-CC is any natural or legal person, public or private, acting, including through any other person acting in his or her name or on his or her behalf, for purposes relating to his or her trade, business, craft or profession (hereinafter: the \u201cEntrepreneur\u201d or \u201cClient\u201d).<\/li>\n<li>Any other general contractual terms and conditions shall not be recognised unless VOLTMAX expressly agrees to their application in writing.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 2<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Conclusion of the Contract<\/strong><\/p>\n<p><strong>&nbsp;<\/strong><\/p>\n<ol>\n<li>Information, price lists and any other promotional or commercial materials issued by VOLTMAX do not constitute an offer.<\/li>\n<li>On the basis of the information provided by the Client, VOLTMAX shall prepare a proposal for the planning\/design, sale, supply and installation of a PV system (hereinafter: the \u201cOffer\u201d) and shall submit it to the Client in written or text form (email). The Offer shall contain the terms and technical specifications of the PV, a preliminary price estimation and preliminary implementation timelines.<\/li>\n<li>Following an on-site inspection of the Client\u2019s property, VOLTMAX shall present the Client with an offer which constitutes a quotation for the works. The Parties shall thereafter agree the final financial terms and the remuneration in the Agreement in accordance with \u00a7 2.5 GTC.<\/li>\n<li>Where the Client accepts the terms of the Offer, the Client shall sign the Offer issued by VOLTMAX and the authorisation form empowering VOLTMAX to apply, in the Client\u2019s name, for any subsidy or financial support related to the PV installation before the competent state or municipal authorities, provided that the Client fulfils the eligibility conditions and at the same time expresses their willingness to take benefit of such a subsid. If the Client wishes to take benefit of pre-financing, the signing of the authorization (pre-financing mandate) by the Client is a condition for concluding the installation contract in accordance with point 2.5. of the GTC.<\/li>\n<li>The contract for the services\/works provided by VOLTMAX shall be concluded at the moment the Client signs the individual Agreement for the planning, sale, supply and installation of the PV with VOLTMAX in written or text form (including by electronic mail).<\/li>\n<li>The Agreement shall in particular contain the individual description of the subject matter of the contract, the essential performance conditions, remuneration details, payment terms, technical data of the PV system and the estimated implementation deadline.<\/li>\n<li>Payment by the Client of the advance payment agreed in the Agreement in favour of VOLTMAX constitutes a condition precedent to VOLTMAX commencing performance and installation works.<\/li>\n<li>The Agreement shall be concluded at the Client\u2019s choice in the German, English or French language.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 3<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Performance of the Contract, Mobile Application<\/strong><\/p>\n<ol>\n<li>VOLTMAX shall be entitled to deliver the PV prior to the estimated delivery date and to install the PV prior to the deadline set out in the concluded Agreement. In such case, VOLTMAX shall notify the Client of the new installation date at least three (3) business days in advance, unless the Parties agree otherwise. The Client undertakes to cooperate with VOLTMAX to enable VOLTMAX to meet the new delivery and\/or installation date, unless otherwise agreed by the Parties.<\/li>\n<li>VOLTMAX shall be entitled to perform partial installations and\/or partial deliveries.<\/li>\n<li>VOLTMAX shall be entitled to subcontract the performance of the Agreement to third parties (subcontractors) without the prior consent of the Client. The Client hereby agrees thereto. VOLTMAX shall remain fully liable towards the Client for the works of its subcontractors.<\/li>\n<li>VOLTMAX shall be obliged to complete the installation within the deadline agreed with the Client in the concluded Installation Agreement. In the event of delay attributable to the Client, VOLTMAX shall be entitled to set the Client an additional reasonable deadline to remove the obstacles and, upon its unsuccessful expiry, to suspend performance of the subject matter of the Agreement or to withdraw from the Agreement for reasons attributable to the Client, without prejudice to VOLTMAX\u2019s right to remuneration for works already performed and its right to claim reimbursement of costs and damages.<\/li>\n<li>The Client may use the mobile application provided by the manufacturer of the PV equipment to monitor the operation and performance of the PV system after installing such application on an end device (mobile phone, tablet, computer) and provided that the end device has uninterrupted connection to the Internet. At the Client\u2019s request submitted in text form, VOLTMAX may, as part of its service, connect the PV system to the existing and functioning Internet network located on the Client\u2019s property free of charge, provided that such network has adequate signal coverage at the location of the inverter or communication gateway. Proper functioning of the mobile application requires that the Client has a functioning router with Internet connection, providing coverage at the location of the PV communication devices. VOLTMAX shall not be liable for interruptions, limitations or disturbances in Internet access, nor for improper functioning of the mobile application due to causes beyond VOLTMAX\u2019s control, in particular due to the Client\u2019s telecommunications infrastructure or the Internet provider. The Parties agree that disturbances in the functioning of the mobile application or in the Internet connection of the PV system shall not constitute a defect of the service or installation and shall not constitute grounds for refusal of acceptance, for complaints, or for asserting any claims against VOLTMAX.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 4<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Client\u2019s Obligations<\/strong><\/p>\n<ol>\n<li>The Client shall ensure that installation of the PV can commence without hindrance, in particular by providing unrestricted access to the installation area. The Client shall ensure that no person interferes with the installation personnel in the execution of the Agreement. The Client shall also provide VOLTMAX free of charge with electricity and water connections, as well as sufficient storage and working space, and shall ensure that unloading and temporary storage of installation materials at the installation site is possible for the duration of the works.<\/li>\n<li>The Client shall provide VOLTMAX and its subcontractors, without delay and upon any request by VOLTMAX, with all information relevant to the installation and commissioning of the PV, including technical documents and information concerning any subsidy for installation of the PV at the Client\u2019s property, as well as any other information relevant to performance of the Agreement upon VOLTMAX\u2019s request. The Client shall be invoiced in full for any increased costs resulting from incorrect information provided by the Client or from the Client\u2019s failure to provide necessary information.<\/li>\n<li>The Client shall not open the packaged PV system delivered by VOLTMAX and shall leave the packaging intact until the installation date. The Client shall properly store the PV system until installation by VOLTMAX so that it is not damaged or destroyed. The Client shall bear responsibility for the PV system after delivery until installation and acceptance.<\/li>\n<li>The Client shall notify VOLTMAX of any changes and\/or additional orders sufficiently in advance before commencement of performance of the Agreement. VOLTMAX reserves the right to refuse acceptance of such changes and\/or additional orders. Refusal by VOLTMAX to accept changes and\/or additional orders shall not affect performance or settlement of the subject matter of the Agreement as individually agreed by the Parties.<\/li>\n<li>The Client shall pay the advance paymnent for the service in the amount and within the deadlines specified in the Agreement concluded with VOLTMAX, into the bank account indicated in the Agreement, whereby the date of payment shall be the date the funds are credited to VOLTMAX\u2019s account. In case of failure to settle the advance in full within the deadline, VOLTMAX shall issue one reminder in text form, granting an additional deadline of no less than five (5) days. Upon unsuccessful expiry of such additional deadline, VOLTMAX shall be entitled to withdraw from the Agreement with immediate effect in text form. In case of withdrawal from the Agreement for reasons attributable to the Client, VOLTMAX may claim a contractual penalty corresponding to the preparation and reservation costs in the amount of EUR 1,000.00 net, which shall not constitute an advance or part of the remuneration; in case the advance payment has already been paid, VOLTMAX shall be entitled to set off such penalty against the received funds, to which the Client gives his irrevocable consent.<\/li>\n<li>The Client\u2019s obligation to settle the remuneration due under the Installation Agreement with VOLTMAX shall not depend on whether, when, or in what amount the Client is granted or paid any subsidy for such installation.<\/li>\n<li>Delivery to the Client of the complete technical documentation and documents necessary for proper operation of the PV system, as well as commissioning of the system, shall take place after the Client has settled the full remuneration arising from the Agreement and the final invoice. The Client acknowledges that payment of the full remuneration constitutes a condition for handover of the documentation and commissioning of the installation system, and that failure to hand over documentation or commission the system for reasons attributable to the Client, in particular due to failure to settle payments, shall not constitute improper performance of the Agreement by VOLTMAX.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 5<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Retention of Title<\/strong><\/p>\n<p><strong>&nbsp;<\/strong><\/p>\n<p>PV systems delivered by VOLTMAX to the Client shall remain the property of VOLTMAX until payment in full of the remuneration for the PV agreed in the Agreement concluded between the Parties (retention of title in favour of VOLTMAX).<\/p>\n<p style=\"text-align: center;\"><strong> \u00a7 6<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Payment Terms and Set-Off<\/strong><\/p>\n<ol>\n<li>The total remuneration of VOLTMAX, including any subsidy amount, is set out in detail in the Agreement concluded in accordance with \u00a7 2.5 GTC. All remuneration amounts listed in the Agreement concluded between the Parties are payable in euro (\u20ac) and include the applicable statutory value added tax (VAT).<\/li>\n<li>Depending on the subsidy programme applicable to the given PV installation Agreement or in the absence of any subsidy for the Client concerned, VOLTMAX shall be entitled to request full, advance and\/or partial payments in accordance with the Agreement and subject to mandatory legal provisions.<\/li>\n<li>The permissible amount of advance payments and\/or partial payments and the detailed payment schedule, including the number, amount and deadlines for advance and final payments, shall be specified individually in the Agreement, taking into account the rules of the applicable financing model, in particular in the case of prefinancing of subsidies.<\/li>\n<li>The payment deadline for the final invoice shall be specified by the Parties in the Agreement. The final invoice shall be issued promptly after completion of the installation of the PV and after execution of the final acceptance protocol.<\/li>\n<li>The Client shall fall into default upon expiry of the payment deadline. VOLTMAX shall be entitled to claim statutory default interest for the period of delay.<\/li>\n<li>The Client\u2019s obligation to pay default interest shall not exclude VOLTMAX\u2019s right to claim further damages for losses caused by delayed payment.<\/li>\n<li>The Client shall not be entitled to set off its claims against those of VOLTMAX unless the Client\u2019s counterclaims have been finally recognised by a competent court or are undisputed and acknowledged in writing by VOLTMAX. The foregoing shall not affect mandatory consumer protection provisions, in particular Client\u2019s rights arising from warranty or guarantee, which may be exercised separately without prejudice to the Client\u2019s obligation to pay the remuneration on time.<\/li>\n<li>The Client may exercise the right of retention only where its counterclaim arises from the same Agreement with VOLTMAX.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 7<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Acceptance<\/strong><\/p>\n<p><strong>&nbsp;<\/strong><\/p>\n<ol>\n<li>Acceptance of the PV installation shall take place immediately after completion of the installation works by VOLTMAX, no later than seven (7) days from the date of completion of installation works by VOLTMAX. Partial acceptances shall not take place.<\/li>\n<li>An acceptance protocol shall be drawn up and signed by VOLTMAX and the Client.<\/li>\n<li>The Client shall not be entitled to refuse acceptance of the PV installation (the agreed subject matter of the Agreement) due to minor (non-material) defects.<\/li>\n<li>Where VOLTMAX\u2019s performance does not conform to the Agreement and the Client duly refuses acceptance, or where acceptance takes place subject to removal of defects specified in the protocol, VOLTMAX shall be obliged to promptly perform in conformity with the Agreement and remedy the defects, to inform the Client of the expected duration of the defect removal and to notify the Client upon completion of the removal (repair).<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 8<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Force Majeure<\/strong><\/p>\n<ol>\n<li>VOLTMAX shall not be liable for non-performance or improper performance of the Agreement caused by force majeure. Force majeure shall mean any external, extraordinary events that are impossible to foresee or which \u2014 even if foreseeable \u2014 remain beyond the reasonable control of the Parties, and the effects of which could not have been avoided despite exercising due care.<\/li>\n<li>Force majeure events shall include, but shall not be limited to: natural disasters (including floods, storms, hurricanes, fires, earthquakes), extreme weather conditions, epidemics and pandemics, infectious diseases, acts of war or similar war-like events, civil unrest, acts of terrorism, strikes, lockouts, disruptions in supply chains, shortages of raw materials or components, decisions of public authorities, prohibitions, embargoes, administrative restrictions, as well as other events of similar nature.<\/li>\n<li>The Party affected by the force majeure event shall notify the other Party of its occurrence and the expected consequences within a reasonable period, no later than within 14 days from becoming aware of the event, in text form.<\/li>\n<li>In the event of force majeure, VOLTMAX shall be entitled to suspend performance of the Agreement or to extend performance deadlines for the duration of the force majeure event and its consequences, without the Client being entitled to withdraw from the Agreement, claim reduction of remuneration, or assert any damages. During this period VOLTMAX shall not be in default.<\/li>\n<li>If a force majeure event prevents performance of the Agreement for more than 180 days or renders performance permanently impossible or economically unreasonable, VOLTMAX shall be entitled to terminate the Agreement in whole or in part with future effect by submitting a declaration in text form without incurring liability towards the Client.<\/li>\n<li>In the event of termination of the Agreement on the basis of this provision, the Parties shall mutually settle the services effectively performed up to the date of termination.<\/li>\n<li>The Parties undertake to take all reasonable measures to mitigate the effects of the force majeure event.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 9<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Warranty (Statutory Liability for Defects)<\/strong><\/p>\n<p><strong>&nbsp;<\/strong><\/p>\n<ol>\n<li>VOLTMAX shall be liable for physical and legal defects of the installation works in accordance with mandatory provisions of Luxembourg law.<\/li>\n<li>In the event a defect is identified, the Client shall notify VOLTMAX without undue delay. VOLTMAX shall have the right, in the first instance, to claim the remedy the defect or bring the service into conformity with the Agreement, provided such action is possible and reasonable. If such measures prove unsuccessful, the Client shall be entitled to further rights provided by applicable law.<\/li>\n<li>The period of liability for defects of installation works shall be five (5) years and shall commence on the date of acceptance of the PV installation, confirmed by signature of the acceptance protocol.<\/li>\n<li>The Parties may individually agree in the Agreement for VOLTMAX to grant an additional paid warranty for supplemental (non-standard) works under the terms specified therein.<\/li>\n<li>Minor colour or aesthetic deviations resulting from production processes or material characteristics shall be deemed in conformity with the Agreement and shall not constitute defects.<\/li>\n<li>The warranty shall not cover defects or wear and tear resulting in particular from:<br>a) use of the installation contrary to its intended purpose or contrary to instructions,<br>b) modifications, repairs, or interventions made by the Client or third parties without VOLTMAX\u2019s consent,<br>c) use of components incompatible with the installation,<br>d) servicing works not performed by VOLTMAX or certified entities,<br>e) changes to the installation contrary to technical specifications or manufacturer\u2019s recommendations.<\/li>\n<li>VOLTMAX reserves the right to introduce technical, constructional or material modifications resulting from technological progress, provided that such modifications do not negatively affect functionality, safety, or agreed parameters of the installation. Such modifications shall not constitute defects.<\/li>\n<li>Irrespective of VOLTMAX\u2019s statutory warranty, the Client may benefit from manufacturer warranties for particular PV components, where applicable to the respective product.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 10<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Liability<\/strong><\/p>\n<ol>\n<li>The Client\u2019s right to claim damages is excluded. This exclusion shall not apply to the Client\u2019s rights to claim damages arising from injury to life, body or health, or arising from breach of essential contractual obligations (cardinal obligations), nor to liability for other damages caused by intentional or grossly negligent breach of duty by VOLTMAX, its legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment is necessary for achieving the purpose of the Agreement.<\/li>\n<li>In the event of breach of essential contractual obligations, VOLTMAX shall be liable for foreseeable damages typical for the Agreement only if caused by simple negligence, unless the Client\u2019s claims are based on injury to life, body or health.<\/li>\n<li>The limitations set out in \u00a710.1 and \u00a710.2 shall also apply for the benefit of VOLTMAX\u2019s legal representatives and vicarious agents if claims are asserted directly against them.<\/li>\n<li>The limitations of liability arising from \u00a710.1 and \u00a710.2 shall not apply where VOLTMAX has fraudulently concealed a defect or assumed a guarantee regarding quality of the subject matter. The same shall apply where VOLTMAX and the Client have agreed on a specific quality of the subject matter. The provisions of the Product Liability Act remain unaffected.<\/li>\n<\/ol>\n<p style=\"text-align: center;\"><strong> \u00a7 11<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Right of Withdrawal for Consumers<\/strong><\/p>\n<p>Consumers shall have a right of withdrawal from the Agreement in accordance with statutory provisions.<\/p>\n<p style=\"text-align: center;\"><strong> \u00a7 12<\/strong><\/p>\n<p style=\"text-align: center;\"><strong>Withdrawal Terms<\/strong><\/p>\n<p>Right of Withdrawal:<\/p>\n<ol>\n<li>The Consumer shall have the right to withdraw from the Agreement within fifteen days without stating any reason.<\/li>\n<li>The withdrawal period shall be fifteen days from the date of conclusion of the Agreement.<\/li>\n<li>In order to exercise the right of withdrawal, the Consumer shall notify VOLTMAX (VOLTMAX Sarl, 7 Pl. de l\u2019Ind\u00e9pendance, 4418 Soleuvre, Luxembourg, Tel.: +352 26 33 86, E-Mail: info@voltmax.lu) of the decision to withdraw from this Agreement by means of an clear declaration (e.g., letter sent by post, fax or e-mail). The Consumer may, but is not required to, use the sample withdrawal form attached.<\/li>\n<li>To meet the withdrawal deadline, it shall be sufficient for the Consumer to dispatch the notification of exercise of the right of withdrawal before expiry of the withdrawal period.<\/li>\n<li>At the explicit request of the Client, made in the form of a declaration contained in the Agreement, VOLTMAX may commence performance prior to expiry of the withdrawal period. In the event the Client makes such declaration, the Client shall lose the right of withdrawal in relation to the service already performed in accordance with mandatory law. Submission of such declaration results in immediate commencement of performance by VOLTMAX, provided that the payment terms agreed in the Agreement have been fulfilled.<\/li>\n<\/ol>\n<p><strong><u>Consequences of Withdrawal \u2013 Information for the Consumer:<\/u><\/strong><\/p>\n<ol start=\"6\">\n<li>In the event of withdrawal from this Agreement, VOLTMAX shall reimburse the Consumer all payments received from the Consumer, including delivery costs (except for additional costs resulting from the Consumer\u2019s choice of a type of delivery other than the least expensive standard delivery offered by VOLTMAX), without undue delay and in any case no later than 14 days from the day on which VOLTMAX was informed of the Consumer\u2019s decision to withdraw from this Agreement. For such reimbursement, VOLTMAX shall use the same means of payment as used by the Consumer in the original transaction, unless expressly agreed otherwise; the Consumer shall in no event incur any fees for the reimbursement.<\/li>\n<li>If the Consumer requests commencement of performance of the Agreement during the withdrawal period, the Consumer shall pay VOLTMAX an amount proportionate to the works and services already performed by VOLTMAX up to the moment the Consumer notified VOLTMAX of the exercise of the right of withdrawal, relative to the total scope of the subject matter of the Agreement. This Assessment comprises a comprehensive evaluation of multiple factors, including, but not limited to, the orientation and slope of your roof, shading and environmental aspects, compliance with local building codes, and any necessary planning permissions.<\/p><p style=\"text-align: left;\">The Assessment may entail an in-person visit to the proposed Installation Site, a remote assessment leveraging modern technology, or a blend of both methods, depending on the circumstances and at the discretion of\u00a0<strong>Voltmax<\/strong>. The process and any potential costs associated with this Assessment will be explicitly communicated to you before it commences.<\/p><p style=\"text-align: left;\">Your request for our Services and the subsequent Assessment does not inherently imply that your Installation Site is suitable for a photovoltaic system.\u00a0<strong>Voltmax<\/strong>\u00a0reserves the right to decline any order if we find the Installation Site unsuitable, or if the installation is deemed to be unsafe or unfeasible for any reason. Such a decision and the reasoning behind it will be communicated to you promptly and transparently.<\/p><p style=\"text-align: left;\">Should your Installation Site be deemed suitable, we will provide you with a detailed Quote for the proposed work. This Quote will be based on the information gleaned during the Assessment, in conjunction with your specific needs. It will delineate the cost of the products and Services required for the installation of the photovoltaic system at your property.<br \/>By accepting the Quote, you confirm your agreement with these T&amp;Cs and express your intention to proceed with the installation. The Quote, once accepted by you, along with these T&amp;Cs, collectively form the Agreement between you and\u00a0<strong>Voltmax<\/strong>.<\/p><p style=\"text-align: left;\">Please note that the commencement of all installations is contingent on\u00a0<strong>Voltmax<\/strong>\u2018s final approval following the Assessment. The Quote is based on the information available at the time of the Assessment, and actual costs may vary if new information or unforeseen circumstances arise during the course of the project.<\/p><p style=\"text-align: left;\">If you wish to proceed based on the Quote, you will need to confirm your acceptance in writing. Site Assessment: Detailed evaluation of the Installation Site to establish its suitability for a photovoltaic system. Part I applies to all Customers, Part II applies exclusively to Consumers, and Part III applies exclusively to Business Customers. The Individual Agreement and the Offer take precedence over these General Terms and Conditions.<\/p><h3>PART I. GENERAL PROVISIONS<\/h3><h4>\u00a7 1. Scope of Application, Definitions, and Contractual Documents<\/h4><ol><li>These General Terms and Conditions (\u201cGTC\u201d) set forth the rules governing the planning, sale, delivery, installation, commissioning, and servicing of heat pumps, together with the agreed-upon equipment, materials, and installation components (\u201cInstallation\u201d) by VOLTMAX Sarl (\u201cVOLTMAX\u201d or \u201cContractor\u201d).<\/li><li>The GTC apply to contracts concluded by the Contractor with Consumers and Business Entities, hereinafter collectively referred to as \u201cCustomers\u201d and individually as \u201cCustomer\u201d or \u201cPurchaser.\u201d<\/li><li>\u201cConsumer\u201d means a natural person acting for purposes unrelated to their commercial, industrial, artisanal, or professional activities, as defined in Article L.010-1 of the Luxembourg Consumer Code (<em>Code de la consommation<\/em>).<\/li><li>\u201cBusiness Entity\u201d means a natural or legal person, whether private or public, acting\u2014including through a person acting on its behalf or for its account\u2014for purposes related to its commercial, industrial, artisanal, or professional activities.<\/li><li>\u201cAgreement\u201d means an individually negotiated agreement between the Contractor and the Client.<\/li><li>\u201cOffer\u201d means a document specifying, in particular, the scope of work, equipment, materials, technical specifications, price, and location of the Installation.<\/li><li>The documents listed in the Contract constitute an integral part of the contractual relationship. In the event of any conflict, the following shall take precedence in the following order: (1) the specific provisions of the Contract, including the price and payment schedule; (2) the Offer; (3) the GTC. Other technical documents are binding if they have been expressly incorporated into the Contract or the Offer; their place in the hierarchy is specified by the Contract or the Offer.<\/li><li>Individual agreements between the Parties take precedence over the GTC. Any change to the scope, price, or deadline requires the express written consent of both Parties, unless the Agreement or mandatory provisions of law require a specific form.<\/li><li>Provisions marked as applying exclusively to Consumers or exclusively to Business Customers apply only to the specified category of Customers. Part III of the GTC does not apply to Consumers.<\/li><li>In case of doubt regarding a Customer\u2019s status, the actual purpose of entering into the Agreement shall be decisive. A Customer\u2019s declaration that they are acting as a Business does not deprive them of consumer protection if, under mandatory provisions, they are acting as a Consumer.<\/li><li>The Customer\u2019s alternative contract templates shall not apply unless the Contractor has expressly accepted them in writing. This does not affect the priority of individual agreements between the Parties.<\/li><\/ol><h4>\u00a7 2. Pre-Contractual Information and Conclusion of the Agreement<\/h4><ol><li>Price lists, advertisements, catalogs, website content, and other general materials provided by the Contractor do not constitute a binding offer, unless expressly stated otherwise.<\/li><li>The Contractor may prepare a preliminary cost estimate or proposal based on information provided by the Client and, if necessary, an on-site inspection of the property. A preliminary cost estimate is not binding unless it has been incorporated into the Offer or the Contract.<\/li><li>The Contract is concluded in the manner specified in its text, in particular by the signatures of both Parties or by the Client\u2019s acceptance of the Offer, confirmed by the Contractor on a durable medium. The mere submission of an inquiry, a preliminary estimate, or an unconfirmed order does not constitute the conclusion of the Contract.<\/li><li>The Contractor shall provide the information required by law prior to the conclusion of the Agreement. In relations with the Consumer, pre-contractual information provided in accordance with the law forms part of the Agreement and may be amended only with the express consent of the Parties.<\/li><li>The Agreement may be concluded in Polish, French, German, or English. If multiple language versions are prepared, the Parties shall specify in the Agreement which version is authoritative, subject to the provisions regarding the clarity and comprehensibility of consumer contract terms.<\/li><li>The General Terms and Conditions are binding on the Customer if they were provided to the Customer prior to the conclusion of the Agreement in a manner that allows the Customer to review them and retain them on a durable medium. Subsequent updates to the General Terms and Conditions do not alter an Agreement that has already been concluded without a legal basis and the express agreement of the Parties.<\/li><\/ol><h4>\u00a7 3. Scope of Services, Selection of Equipment and Subcontractors<\/h4><ol><li>The Contractor shall perform the services within the scope specified in the Contract and the Offer, in accordance with applicable regulations, principles of technical knowledge, relevant standards, and manufacturers\u2019 instructions.<\/li><li>The scope of the price covers only the equipment, materials, and work expressly specified in the Contract or the Proposal. Exclusions from the scope, in particular those concerning electrical installations, foundations, drainage, ventilation, internet connectivity, and finishing and restoration work, are specified in the Proposal and\u2014supplementarily\u2014in the GTC.<\/li><li>The Contractor is responsible for the proper selection and planning of the Installation within the agreed scope and based on information, documents, and property conditions that were known to the Contractor or that the Contractor should have identified by exercising due professional care.<\/li><li>The Contractor may entrust part of the services to appropriately qualified subcontractors, while remaining liable to the Client for their acts and omissions to the extent required by applicable law.<\/li><li>Partial deliveries and phased performance of work are permitted if this is objectively justified by the course of the project, does not result in unagreed-upon additional costs for the Client, and does not infringe upon the Client\u2019s legitimate interests.<\/li><li>A delivery or installation date earlier than the agreed-upon date requires agreement with the Client. Mere notification of a proposed earlier date does not oblige the Client to accept it.<\/li><\/ol><h4>\u00a7 4. Client Cooperation and Property Conditions<\/h4><ol><li>The Customer shall provide the Contractor and its subcontractors, within the agreed timeframes, with safe access to the property and the installation site, the ability to unload materials, adequate workspace, and access to electricity, water, and other utilities necessary for the performance of the work, unless the Contract or the Proposal provides otherwise.<\/li><li>The Customer shall provide, to the best of its knowledge, complete information and documents relevant to the design, installation, and commissioning of the System, in particular regarding the building\u2019s structure, existing systems, property rights, required permits, and known defects or technical limitations.<\/li><li>The Client shall provide a prepared, accessible, and safe installation site in accordance with the requirements of the Offer. If the Offer does not include such work, the Client\u2019s obligations shall include, in particular, the construction of the necessary foundations or bases, ensuring proper electrical wiring, ventilation, drainage, and Internet access, as well as performing finishing and restoration work.<\/li><li>The Customer shall protect the delivered and uninstalled equipment in accordance with the Contractor\u2019s instructions, shall not open packaging that requires the manufacturer\u2019s security measures to be maintained, and shall not tamper with the equipment prior to installation. This provision does not transfer risk to the Consumer earlier than permitted by law.<\/li><li>If a lack of cooperation prevents or significantly hinders performance, the Contractor may\u2014after notifying the Client and, where possible, setting a reasonable deadline\u2014suspend work to the extent necessary. The performance deadline shall be extended by the duration of the documented obstacle and the objectively necessary reorganization of the work.<\/li><li>The Client is liable for documented and objectively necessary additional costs that are causally related to a culpable breach of the duty to cooperate. The Contractor shall notify the Client of the anticipated costs before incurring them, to the extent possible. Additional work subject to a fee is governed by \u00a7 5.<\/li><li>The Contractor may not invoke a lack of information if, having exercised due professional care, it should have noticed the lack of information, inaccuracies, or technical risks and failed to bring them to the Client\u2019s attention.<\/li><\/ol><h4>\u00a7 5. Additional Work and Technical Changes<\/h4><ol><li>If the proper execution of the Installation requires work, materials, or equipment not covered by the Offer, the Contractor shall inform the Client of the reason, scope, price, and impact on the completion date.<\/li><li>Any additional work subject to a fee or any price increase requires the Client\u2019s prior, express written consent. The Client\u2019s failure to respond does not constitute consent.<\/li><li>Until the Client makes a decision or performs the necessary work, the Contractor may suspend performance to the extent that continuing the work would be impossible, unlawful, dangerous, or economically unreasonable.<\/li><li>If the Client does not accept objectively necessary additional work and performance of the Contract is permanently impossible without such work, either Party may terminate the Contract with respect to the unperformed portion. The Parties shall settle accounts for properly performed services, delivered goods, and documented costs in accordance with applicable law.<\/li><li>The Contractor may implement a minor technical change without additional consent only if it is objectively justified, the solution is equivalent or better, does not reduce the agreed-upon specifications, does not increase the price, and does not significantly affect the appearance or use of the property.<\/li><li>Other technical changes, in particular a change in the manufacturer or model of a device, significant parameters, appearance, installation location, or functionality, require the Client\u2019s prior written approval.<\/li><\/ol><h4>\u00a7 6. Deadlines, Obstacles, and Force Majeure<\/h4><ol><li>The conditions for commencement and the completion date are specified in the Agreement. If commencement depends on an advance payment, documents, permits, approvals, or preparation of the installation site, the deadline begins upon the simultaneous fulfillment of the conditions applicable in the given case.<\/li><li>The completion deadline shall be extended by the documented duration of any hindrance beyond the Contractor\u2019s control and by the objectively necessary period for reorganizing the work, provided that the Contractor could not have avoided the hindrance or its consequences despite exercising due professional care.<\/li><li>Such obstacles may include, in particular, force majeure, actions by a government authority, weather conditions preventing the safe performance of work, unforeseeable disruptions in supplies, a lack of cooperation from the Client, or the need to perform additional work not previously agreed upon. Ordinary business risks, a shortage of personnel, or typical supplier delays do not in and of themselves constitute grounds for extending the deadline.<\/li><li>The Party affected by the obstacle shall immediately notify the other Party of its nature, expected duration, and impact on performance. The Contractor shall provide an updated estimated completion date and shall take all reasonably available measures to mitigate the effects of the obstacle.<\/li><li>If the obstacle is of a permanent nature or prevents performance for a period exceeding 90 days, either Party may terminate the Agreement with respect to the unperformed portion. This does not limit the Client\u2019s prior rights arising from delay, impossibility of performance, or mandatory provisions of law.<\/li><li>In the event of termination of the Agreement, the Parties shall settle accounts for services properly performed and goods delivered. The Contractor shall refund payments attributable to the unperformed portion, taking into account legally permissible counterclaims.<\/li><\/ol><h4>\u00a7 7. Price, Invoices, and Payments<\/h4><ol><li>The price, VAT rate, payment schedule, required advance payments, and bank account information are specified in the Agreement. In the event of any conflict, the individual provisions of the Agreement shall prevail.<\/li><li>Unless otherwise specified, prices for Consumers are gross prices including VAT and other mandatory charges known to the Contractor. Prices for Business Customers may be quoted net if this is explicitly stated.<\/li><li>Invoices and billing documents may be sent electronically to the email address provided by the Customer, provided this is consistent with the Agreement and applicable law.<\/li><li>In the event of a delay, the Contractor may, after fulfilling the relevant legal requirements, demand statutory interest as well as legally permissible and documented costs of debt collection. Specific rules for Consumers are set forth in \u00a7 16, and for Business Customers in \u00a7 20.<\/li><li>If the Customer fails to pay an advance payment or any other payment required to proceed to the next stage, the Contractor may\u2014after issuing a demand and setting an appropriate additional deadline\u2014suspend performance to the extent necessary. Upon the fruitless expiration of the deadline, the Contractor may exercise the rights provided by law, including terminating the Agreement if the breach is material.<\/li><\/ol><h4>\u00a7 8. Delivery, Risk, and Retention of Title<\/h4><ol><li>The date and place of delivery shall be specified in the Agreement or by mutual agreement of the Parties. The Customer shall ensure that the goods can be safely unloaded and accepted within the agreed timeframe.<\/li><li>The risk of accidental loss or damage to the equipment passes to the Customer in accordance with the law. In the case of a Consumer, this generally occurs upon the Consumer\u2019s taking physical possession of the goods or upon a third party designated by the Consumer (other than the carrier) taking physical possession of the goods, subject to exceptions provided for by law.<\/li><li>The delivered equipment and materials remain the property of the Contractor until full payment of the price due, to the extent that the retention of title is effective under the law.<\/li><li>The retention of title does not affect the consequences of the permanent incorporation of equipment or materials into real property or the Client\u2019s mandatory rights. The Client may not dispose of unpaid and uninstalled equipment in a manner that infringes upon the Contractor\u2019s rights.<\/li><li>If the delivery cannot be accepted for reasons attributable to the Customer, the Parties shall agree on a new delivery date and a secure method of storage. Additional costs may be charged to the Customer only to the extent that they are documented, objectively necessary, and legally permissible.<\/li><\/ol><h4>\u00a7 9. Installation, Commissioning, Documentation, and Acceptance<\/h4><ol><li>The Contractor shall perform installation and commissioning in accordance with the Agreement, conduct the appropriate inspections, and submit the Installation for acceptance.<\/li><li>The Customer shall proceed with acceptance on the agreed date. The Parties shall sign the acceptance report without reservations or shall specify in it any specific reservations, visible defects, and the appropriate deadline for their rectification.<\/li><li>Minor defects that do not affect safety, essential functionality, intended use, or the agreed-upon basic technical parameters do not justify a refusal to accept the work, unless mandatory regulations provide otherwise.<\/li><li>If the Client fails to proceed with acceptance without a valid reason, the Contractor shall set a new, appropriate deadline. Upon the fruitless expiration of this deadline, the Contractor may draw up a unilateral report along with photographic and technical documentation. These serve as evidence of the condition and scope of the work, but do not deprive the Customer of their rights nor do they automatically replace acceptance, unless the conditions of \u00a7 21 have been met with respect to the Contractor.<\/li><li>The Contractor shall provide the documentation required by the Agreement or by law, in particular user manuals, basic technical documentation, and commercial warranty documents, if a warranty has been granted.<\/li><li>Acceptance, commissioning, payment, or commencement of use do not result in the loss of rights regarding defects that could not reasonably have been detected at the time of acceptance, nor of rights that cannot be effectively excluded.<\/li><\/ol><h4>\u00a7 10. Existing Installations and Safety<\/h4><ol><li>The Contractor is not obligated to perform a comprehensive inspection, repair, or modernization of existing installations and building components, unless such activities are covered by the Contract or are part of the required professional diligence within the scope of the agreed-upon work.<\/li><li>If defects in existing installations, structures, or connections are discovered, the Contractor shall inform the Client of the identified risk and may suspend work to the extent necessary to ensure safety and proper execution.<\/li><li>The Contractor shall not be liable for damage caused solely by a defect in an existing installation, building, or connection, or by incorrect information provided by the Client, if the Contractor could not have detected such circumstances while exercising due professional care and did not cause the damage or contribute to it.<\/li><li>The Customer should not interfere with the Installation on their own or have a person without the required qualifications perform such work if this could compromise safety, legal compliance, or the manufacturer\u2019s conditions. This does not limit the Customer\u2019s right to use another qualified service provider or their statutory rights.<\/li><\/ol><h4>\u00a7 11. Permits, VAT, and Subsidies<\/h4><ol><li>The division of responsibilities regarding permits, notifications, owner consents, reduced VAT rates, and subsidies is specified in the Contract and the Proposal.<\/li><li>Unless otherwise agreed, the Customer shall obtain property consents on its own behalf and submit applications for permits and subsidies, while the Contractor shall provide the technical documentation in its possession and ensure the explicitly agreed-upon support.<\/li><li>If the application of a reduced VAT rate requires documents or a decision by an authority, the Client shall provide the required data, documents, and signatures. The gross price will be settled at the rate ultimately applicable; a change resulting solely from the VAT rate does not alter the agreed-upon net price.<\/li><li>Information regarding the possibility of obtaining funding is provided for informational or estimative purposes only, unless the Contractor has provided an express, separate guarantee. The Contractor shall not be liable for the decision of the authority, the amount, or the timing of payment, unless the failure to receive funding results from a culpable breach of the Contractor\u2019s agreed-upon obligations.<\/li><li>The failure to obtain funding or a delay in payment does not relieve the parties of their obligation to pay the price, unless the Parties have expressly agreed otherwise.<\/li><li>If the required approval has not been obtained, the Contractor may suspend performance. In the event of permanent impossibility of performance, the Parties shall settle accounts for properly performed services and reasonable, documented costs in accordance with the law.<\/li><\/ol><h4>\u00a7 12. Service Requests and Complaints<\/h4><ol><li>Requests regarding performance, defects, non-conformity, warranty, or service may be sent to the Contractor\u2019s mailing address or to info@voltmax.lu, unless an additional channel is specified in the Agreement or warranty.<\/li><li>The report should, to the extent possible, include the Contract number, Installation details, a description of the problem, the date it was identified, and any available photos or readings. The absence of this information does not result in the loss of statutory rights, provided that the Contract and the problem can be identified.<\/li><li>The Customer shall facilitate a reasonable diagnosis and the performance of necessary corrective actions. In emergency situations, the Customer shall take reasonable measures to mitigate damage, taking into account safety and the device\u2019s instructions.<\/li><li>The Contractor shall confirm receipt of the report and inform the Customer of the next steps within a reasonable time. The Consumer\u2019s specific rights are set forth in \u00a7 15.<\/li><li>Paid maintenance services not covered by statutory liability or a commercial warranty require prior notification of the price or method of calculation and the Customer\u2019s acceptance.<\/li><\/ol><h4>\u00a7 13. Documentation, Intellectual Property Rights, Photographs, and Data<\/h4><ol><li>Intellectual property rights to the Contractor\u2019s studies, drawings, calculations, and documentation shall remain with the Contractor or the relevant rights holder, subject to the Client\u2019s rights as specified in the Agreement and by law.<\/li><li>The Client may use the provided documentation to the extent necessary to perform the Agreement, and for the use, maintenance, repair, renovation, insurance, financing, or sale of the real estate, and may provide it for this purpose to qualified service technicians, consultants, authorities, insurers, financing institutions, and subsequent owners.<\/li><li>Without the Contractor\u2019s consent, the Client may not use individual studies for the implementation of another project or distribute them commercially, except as permitted by law.<\/li><li>The Contractor may take photographs and prepare other documentation regarding the progress and status of the work to the extent necessary for the performance of the Agreement, quality assurance, maintenance, proof of performance, or the defense against claims.<\/li><li>The use of photographs or information about the Installation for advertising, reference, or marketing purposes requires separate, voluntary consent from the relevant person. Refusal or withdrawal of consent does not affect the conclusion or performance of the Agreement.<\/li><li>Personal data is processed in accordance with the provided information on data processing. These General Terms and Conditions do not replace this information or the required consents.<\/li><\/ol><h3>PART II. PROVISIONS APPLICABLE EXCLUSIVELY TO CONSUMERS<\/h3><h4>\u00a7 14. Priority of Consumer Protection<\/h4><ol><li>No provision of the Agreement or these General Terms and Conditions excludes or limits the Consumer\u2019s rights arising from mandatory provisions of law, in particular the Luxembourg Consumer Code and the Civil Code.<\/li><li>If a provision of the GTC conflicts with a mandatory provision of law or constitutes a prohibited contractual provision, it shall not be binding on the Consumer to the extent provided by law, without affecting the remainder of the Agreement.<\/li><li>Part III does not apply to the Consumer, even if it was mistakenly provided to the Consumer or referenced in another document.<\/li><\/ol><h4>\u00a7 15. Statutory Warranty of Conformity, Hidden Defects, Installation Work, and Commercial Warranty<\/h4><ol><li>The Consumer is entitled to statutory rights arising from the non-conformity of the delivered goods with the Agreement, latent defects, and defective performance of installation work. These rights are not limited by the manufacturer\u2019s or the Contractor\u2019s commercial warranty.<\/li><li>The statutory warranty of conformity of goods is valid for the period specified by mandatory provisions of law, generally for two years from the delivery of the goods. It also covers improper installation if the installation was part of the Agreement and was performed by the Contractor or under the Contractor\u2019s responsibility.<\/li><li>In the event of non-conformity, the Consumer may exercise the remedies provided by law, in particular, demand that the goods be brought into conformity free of charge through repair or replacement, and in cases specified by law\u2014a proportionate price reduction or termination of the Contract.<\/li><li>Repair or replacement shall be performed free of charge, within a reasonable time, and without significant inconvenience to the Consumer, taking into account the nature of the goods and the purpose for which they were purchased. The Contractor shall bear the costs required by law, including labor, materials, shipping, transportation, disassembly, and reassembly costs.<\/li><li>Notwithstanding the statutory warranty of conformity of goods, liability for works and elements permanently attached to real property is governed by the relevant provisions of the Luxembourg Civil Code, in particular Articles 1792 and 2270, depending on whether the work performed is classified as <em>\u201cgros ouvrages\u201d <\/em>or <em>\u201cmenus ouvrages<\/em>.\u201d The relevant period begins, in accordance with applicable regulations, in particular upon acceptance of the work. These General Terms and Conditions do not shorten statutory periods or limit liability that cannot be effectively excluded.<\/li><li>Normal wear and tear does not constitute a defect. The Contractor shall not be liable to the extent that it demonstrates that a specific defect or damage was caused exclusively by improper use, unauthorized modifications not in accordance with the instructions, the use of incompatible components, or a lack of required maintenance, and that this is related to the defect in question.<\/li><li>Using a qualified service provider other than the Contractor does not automatically result in the loss of statutory rights. The Contractor may deny liability only to the extent that the defect was caused by such interference.<\/li><li>The commercial warranty is voluntary and is governed by the terms of the warranty document provided to the Consumer on a durable medium. The document specifies, at a minimum, the warrantor, the procedure, the scope, the duration, and the territorial coverage of the warranty, and states that statutory rights remain unaffected.<\/li><li>The commercial warranty document will be provided to the Consumer on a durable medium in French, English, Polish, or German, according to the Consumer\u2019s choice.<\/li><li>Maintenance of the extended commercial warranty may require timely, paid inspections, provided that this condition was clearly stated prior to the warranty being granted. Failure to undergo an inspection does not limit the Consumer\u2019s statutory rights, unless there is a legally relevant connection between the failure to perform maintenance and a specific defect.<\/li><li>If the delivered device contains digital components or is linked to a digital service, the Contractor shall provide or convey to the Ordering Party information regarding updates\u2014including security updates\u2014necessary to maintain the device\u2019s compliance with the Agreement for the period required by mandatory regulations. The Ordering Party shall install the provided updates within a reasonable time after receiving notification of their availability and of the consequences of failing to install them. This does not affect the statutory liability of entities obligated to provide updates.<\/li><\/ol><h4>\u00a7 16. Consumer\u2019s Delay in Payment<\/h4><ol><li>In the event of a delay in payment by the Consumer, the Contractor may demand statutory interest in accordance with the terms and at the rate set forth in the mandatory provisions of Luxembourg law. If the Contractor intends to charge interest, it shall issue an invoice within one month of the acceptance of the goods, the completion of the work, or the performance of the service, and shall include explicit information on the invoice regarding the accrual of interest. Interest shall accrue from the beginning of the third month following the relevant event, unless mandatory provisions provide otherwise.<\/li><li>The costs of debt collection may be charged to the Consumer only to the extent permitted by law or by a competent authority. The flat fee of 40 EUR applicable to commercial transactions does not apply to Consumers.<\/li><li>The Consumer may exercise set-off, the right of retention, and other defenses in accordance with the law. In particular, the Consumer is not deprived of the right to assert claims that are undisputed, have been legally established, or arise from the same Contract.<\/li><\/ol><h4>\u00a7 17. The Consumer\u2019s Right of Withdrawal<\/h4><ol><li>If the Contract was concluded at a distance or off the business premises and there is no statutory exception, the Consumer has the statutory right to withdraw from the Contract without giving a reason.<\/li><li>Detailed information regarding the time limit, when it begins to run, how to submit a notice of withdrawal, the return of equipment, return costs, billing for services initiated at the Consumer\u2019s request, and a sample form is contained in the instructions attached as an appendix to the Agreement. These General Terms and Conditions do not replace those instructions.<\/li><li>The Service Provider will commence the provision of paid services before the expiration of the withdrawal period only upon the Consumer\u2019s prior express request submitted on a durable medium, if such a request is required.<\/li><li>If the Consumer effectively withdraws after services have begun at their express request, they may be required to make a pro-rata payment only if the statutory conditions are met and to the extent permitted by law.<\/li><li>A request for the services to begin earlier does not constitute an immediate waiver of the entire right of withdrawal. The loss of the right regarding a fully performed service requires that all statutory conditions be met.<\/li><li>The direct cost of returning the goods may be charged to the Consumer only if required by law and the Consumer was properly informed of this prior to the conclusion of the Contract. Independent disassembly requiring specialized qualifications is not required if it would pose a hazard or risk of damage.<\/li><\/ol><h4>\u00a7 18. Out-of-Court Resolution of Consumer Disputes<\/h4><ol><li>After first submitting a complaint to the Contractor and failing to reach an amicable resolution of the dispute, the Consumer may request out-of-court resolution from the Service national du M\u00e9diateur de la consommation, 6, rue du Palais de Justice, L-1841 Luxembourg, website: www.mediateurconsommation.lu, email:<a href=\"mailto:info@mediateurconsommation.lu\">info@mediateurconsommation.lu<\/a> .<\/li><li>Participation in mediation is voluntary and does not deprive the Consumer of the right to bring a case before the competent court.<\/li><li>The Contractor shall inform the Consumer, in accordance with applicable regulations, whether the Contractor undertakes or agrees to participate in a specific mediation proceeding.<\/li><\/ol><h3>PART III. PROVISIONS APPLICABLE EXCLUSIVELY TO BUSINESSES<\/h3><h4>\u00a7 19. Scope of the B2B Section and Obligations of the Business<\/h4><ol><li>The provisions of Part III apply exclusively to the Business. In the event of a conflict with Part I, the provisions of Part III shall take precedence in B2B relationships.<\/li><li>The Business Owner shall provide registration details, a VAT number, and the information necessary for proper invoicing, and shall confirm the commercial or professional purpose of the Agreement.<\/li><li>The Business Entity is obligated to coordinate the work on an ongoing basis with other contractors on the property and is responsible for ensuring that the submitted schedules, documents, and guidelines correspond to the actual status of the project.<\/li><li>The Contractor is not bound by the Entrepreneur\u2019s standard purchase forms, terms of purchase, or other general terms and conditions, even if the Contractor did not object to them again upon receipt, unless the Contractor has expressly accepted them in writing.<\/li><\/ol><h4>\u00a7 20. Payments, Interest, Collection Costs, and B2B Set-Off<\/h4><ol><li>The Client shall be in default as of the day following the agreed payment due date, without the need for an additional demand for payment, to the extent permitted by commercial transaction laws.<\/li><li>The Contractor may demand statutory interest applicable to commercial transactions, a statutory flat fee of 40 EUR for debt collection costs, and reasonable additional debt collection costs exceeding the flat fee, to the extent permitted by law.<\/li><li>The Business may set off a claim against the Contractor if it is undisputed, has been legally established, or arises from the same Agreement. A right of retention may be exercised with respect to claims arising from the same Agreement.<\/li><li>The Contractor may apply payments first to the oldest due and payable amounts arising from the relationship with the Business, and then to costs and interest, unless the law or an explicit designation of the payment requires a different allocation.<\/li><li>Reporting a defect does not entitle the Business Owner to withhold the entire undisputed portion of the remuneration. The amount withheld should be reasonably proportionate to the value of the disputed service.<\/li><\/ol><h4>\u00a7 21. Inspection of Deliveries and Acceptance in B2B Transactions<\/h4><ol><li>The Business Owner shall inspect the delivered equipment and the work performed within a reasonable timeframe appropriate to their nature and shall immediately report any visible defects, without prejudice to liability that cannot be excluded.<\/li><li>If, after being notified that the work is ready for acceptance, the Business Entity fails to accept it without a valid reason, the Contractor may set an additional deadline of at least 5 business days and notify the Business Entity that, upon the fruitless expiration of this deadline, the work will be deemed accepted, except for defects that were expressly reserved or impossible to detect during a reasonable inspection.<\/li><li>Upon the fruitless expiration of the additional period, acceptance may be deemed to have occurred to the extent permitted by law if the Installation is essentially complete, safe, and capable of being used for its intended purpose, and the Contractor has documented its condition.<\/li><li>The use of the Installation in normal operations after notification of readiness may constitute implied acceptance if the circumstances clearly indicate the intention to accept the work. Mere commissioning for testing purposes does not constitute acceptance.<\/li><li>Partial acceptance may be conducted for independent stages or parts of the service if provided for in the Contract, the schedule, or an agreement between the Parties.<\/li><\/ol><h4>\u00a7 22. Contractor\u2019s Liability in B2B Relationships<\/h4><ol><li>The Contractor is liable to the Business Entity in accordance with Luxembourg law, subject to the modifications set forth below, to the extent permitted by law.<\/li><li>The Contractor bears unlimited liability for willful misconduct, gross negligence, death or bodily injury, fraudulent concealment of a defect, an expressly assumed warranty, and liability that cannot be limited, including applicable product liability and liability for construction work.<\/li><li>In the case of ordinary negligence, the Contractor shall be liable for damages that are a direct and foreseeable consequence of a breach of a material contractual obligation, the performance of which enables the achievement of the purpose of the Agreement and on the performance of which the Client could reasonably rely.<\/li><li>Subject to paragraph 2, the Contractor shall not be liable for lost profits, loss of production, business interruptions, or other indirect or consequential damages, unless such damages were a typical and foreseeable consequence of a breach of a material contractual obligation.<\/li><li>To the extent permitted by law and subject to paragraph 2, the Contractor\u2019s total liability for ordinary negligence is limited to 100% of the net Installation Price specified in the Agreement.<\/li><li>These limitations apply mutatis mutandis to the Contractor\u2019s officers, employees, representatives, and subcontractors if claims are brought directly against them.<\/li><li>The Contractor shall take reasonable measures to mitigate damages and shall immediately report any event that may give rise to a claim. A breach of this obligation shall affect liability only to the extent that it increased the damages.<\/li><\/ol><h4>\u00a7 23. Defects and B2B Warranties<\/h4><ol><li>The Contractor\u2019s rights regarding defects in equipment and work are governed by Luxembourg law, the Agreement, and this section. Mandatory provisions, in particular those concerning construction work and latent defects, remain unaffected.<\/li><li>First and foremost, the Contractor has the right, at its reasonable discretion taking into account the nature of the defect and the Entrepreneur\u2019s interests, to remedy the defect or provide a substitute solution, provided that such a remedy is feasible and proportionate.<\/li><li>If the proper rectification of the defect proves impossible, is refused, does not occur within a reasonable time, or fails despite a reasonable number of attempts, the Client may exercise further rights provided by law.<\/li><li>The manufacturer\u2019s commercial warranty applies independently of the Contractor\u2019s liability, subject to the terms of the warranty document. The Contractor does not act as the manufacturer\u2019s guarantor unless it has expressly assumed such a role.<\/li><li>Normal wear and tear, as well as defects caused solely by operation not in accordance with the instructions, unauthorized tampering, an incompatible component, or neglected maintenance, shall not be attributed to the Contractor in terms of causation with respect to the defect in question.<\/li><\/ol><h3>PART IV. FINAL PROVISIONS<\/h3><h4>\u00a7 24. Governing Law, Jurisdiction, and Validity of Provisions<\/h4><ol><li>The General Terms and Conditions and the Agreement shall be governed by the laws of the Grand Duchy of Luxembourg.<\/li><li>The choice of law shall not deprive the Consumer of the protection afforded by the mandatory provisions of the country of his or her habitual residence, if conflict-of-laws rules provide for their application.<\/li><li>Disputes with the Consumer shall be adjudicated by the court having jurisdiction in accordance with mandatory provisions on jurisdiction and consumer protection.<\/li><li>In relations with Business Entities, subject to the Contractor\u2019s right to bring an action also before the court having jurisdiction over the Business Entity\u2019s place of business, the courts having territorial jurisdiction over the Contractor\u2019s place of business in Luxembourg shall have exclusive jurisdiction to resolve disputes, provided that such an agreement on the jurisdiction of the court is permissible and effective under applicable law.<\/li><li>Statements relating to the Agreement may be made in writing, in particular by email, unless the Agreement or applicable law requires a different form. Individual agreements remain effective regardless of these General Terms and Conditions.<\/li><li>If any individual provision of the GTC proves to be invalid, unlawful, or unenforceable, this shall not affect the remaining provisions, provided that the continued validity of the Agreement is legally possible. The relevant provisions of law shall apply in place of such a provision; the unlawful clause shall not be modified in a manner contrary to consumer protection.<\/li><li>The Contractor may not unilaterally amend the GTC with effect on an already concluded Contract, unless the basis, scope, and terms of the amendment have been validly agreed upon or are required by law. The new version of the GTC applies to new Contracts as of the specified date.<\/li><li>Headings and section designations are provided for clarity. In the event of any discrepancy, the hierarchy set forth in \u00a7 1(6) shall apply.<\/li><\/ol><h4>\u00a7 25. Entry into Force and Version Identification<\/h4><ol><li>The GTC apply to Agreements into which they have been effectively incorporated as of the date specified below.<\/li><li>The version of the GTC is identified by the date indicated on the first page and in the footer of the document. The version of the GTC specified in the Agreement and provided to the Customer on a durable medium prior to the conclusion of the Agreement shall apply to the Agreement.<\/li><li>Effective Date:
